Project Imaginat10n Consumer Film Contest

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE AGE 16 OR OLDER AT TIME OF ENTRY. VOID WHERE PROHIBITED. U.S. LAW GOVERNS THIS CONTEST.

1. ELIGIBILITY

The Project Imaginat10n Consumer Film Contest (the Contest), sponsored by Canon U.S.A., Inc. (“Sponsor”), is open only to legal residents of the fifty United States and the District of Columbia who are 16 years of age or older as of the time of entry. The Contest is void in Puerto Rico and where prohibited. Employees of Sponsor, its advertising and promotion agencies, and each of Sponsor’s and such agencies’ respective parent companies, subsidiaries and affiliates (all of the foregoing, the Contest Entities, and such employees’ immediate family and household members, are not eligible. Contributors (as defined in Section 5) also must not be employees of any of the Contest Entities or a member of any such employee’s immediate family or household. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e., the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address). The Contest is open only to individual entrants, who must comply with all requirements set forth in the Official Rules (including, without limitation, the requirement set forth in Section 3 that the copyright in the Film (as defined below) be owned solely by the entrant). In the event that persons or entities other than the entrant contributed to the Film submitted by the entrant, the entrant must obtain all necessary consents and permissions from such persons or entities.

2. HOW TO ENTER

The entry period for the Contest begins at 9:00 a.m. Pacific Time (PT) on June 4, 2013 and ends at 6:00 a.m. PT on July 23, 2013 (the "Entry Period"). To enter, visit imagination.usa.canon.com (the “Website”) and follow the on-screen entry instructions. Entrants will have the option to log into the Website and enter using Facebook or Twitter credentials. Each entrant will be required to submit his or her name, e-mail address, phone number, zip code, date of birth and such other information as Sponsor may require and to upload to the Website a film directed and owned by the entrant (a "Film"). Each Film must be inspired by one (1) of the winning photographs in each of the ten (10) theme categories in the Project Imaginat10n Photo Contest conducted by Sponsor, including the one (1) winning photograph in the Discovery theme that is designated by Sponsor. The winning photographs are designated by Sponsor and available on the Website. When entering, each entrant will be required to identify the ten (10) winning photographs that inspired the entrant’s Film. All entries must be completed and received by Sponsor (as defined below) no later than 6:00 a.m. PT on July 23, 2013. An entry will not be considered complete if the entrant’s film has not completed uploading by 6:00 a.m. PT on July 23, 2013, even if the entrant initiated the upload before that time. Proof of submission does not constitute proof of entry. Normal time rates, if any, charged by the entrant’s Internet service provider will apply. There is a limit of one (1) entry per person and per e-mail address. However, a person who is an entrant is also permitted to be a Contributor with respect to one or more Films submitted by other entrants. If an entrant uploads a Film and is later informed by Sponsor that the entrant’s Film has been rejected for non-compliance with these Official Rules, the entrant will be permitted to re-submit a revised Film or a different Film. There is a limit of one (1) prize per person. Each Film can be entered only once. Multiple entrants may not submit the same Film. In the event that two or more entrants submit the same Film, Sponsor will be entitled to take such action as it deems appropriate in its discretion (which may include, among other things, requiring documentation or other verification of ownership of the Film, accepting the submission from the first entrant only and/or disqualification of all entrants submitting the same Film). No purchase is necessary to enter or win.

3. TECHNICAL AND CONTENT GUIDELINES

Each Film must comply with the following guidelines:

  1. the Film must be at least one minute (1:00) but no longer than ten minutes (10:00) in duration (including any credits, which must be no longer than two minutes (2:00) in duration);
  2. each entrant must produce his or her Film in the highest technical quality reasonably possible for the entrant;
  3. the Film must comply with the technical specifications provided on the Website and must be compatible with the upload mechanism provided on the Website;
  4. the Film must be at least 360p (640 x 360 pixels) resolution;
  5. the file size of the Film must be no greater than 300MB;
  6. the Film must be in one of the following file formats: 3GP/3GP2, ASF (Windows Media), AVI, DV Video, Flash Video (FLV/F4V), MOV (Quicktime), MP4 Video/Audio, MPEG-2 TS, MPEG-2 PS, MPEG-1, Ogg, VOB (Video Object), or WebM;
  7. the Film (including the copyright in the Film) must be owned solely by the entrant;
  8. the Film must not have been exhibited publicly (including, without limitation, on YouTube, Facebook, Vimeo or any other website or social media outlet) prior to entry in the Contest or won any award;
  9. the Film must be original;
  10. the Film must not prominently (as determined by Sponsor in its discretion) depict or refer to any brand or trademark other than Canon;
  11. if any component of the Film (including without limitation any footage, artwork, music or photograph) is owned by someone other than the entrant, the entrant must obtain in writing a license to include such component in the Film and for the use of the Film by the Sponsor Parties (as defined in Section 10) as permitted hereunder;
  12. the Film must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Sponsor Parties requires a license or permission from any third party;
  13. the content of the Film must be such that, if submitted for rating, the Film would likely receive a rating of “PG-13,” “PG” or “G”;
  14. the Film must not utilize live animals unless the entrant has obtained the consent of the animal’s owner and an affidavit from the animal owner or wrangler that the animal was not harmed in the making of the Film. Entrants are encouraged to contact the local Humane Society prior to production of the Film to verify appropriate animal safeguards on set; and
  15. the Film must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing.

4. CLEARANCES

Each entrant must obtain in writing all permissions, licenses and consents (“Clearances”) that are necessary for the use of the Film by the Sponsor Parties as permitted hereunder. This includes, but is not limited to, the following:

  • If the Film identifies or depicts any actor or any other person other than the entrant, the entrant must obtain written Clearance from each such person (or his or her parent or legal guardian, if the person identified or depicted is a minor) to the identification or depiction of such person in the Film and the use of the Film by the Sponsor Parties as permitted hereunder;
  • If the Film includes any music, footage, artwork or photography that is owned by someone other than the entrant, the entrant must obtain from the owner(s) of all such material written Clearance to the use of such material in the Film and the use of the Film by the Sponsor Parties as permitted hereunder;
  • If any footage or other material contained in the Film is created at a location that is owned by someone other than the entrant and as to which a release is or may be required for the production or use of the Film, the entrant must obtain from the owner(s) of the location written Clearance to the use of such material in the Film and the use of the Film by the Sponsor Parties as permitted hereunder; and
  • If the Film was written by someone other than the entrant, the entrant must obtain from the writer(s) of all such material written Clearance to use such materials in the Film and the use of the Film by the Sponsor Parties as permitted hereunder.

By entering the Contest, the entrant represents and warrants that the entrant has complied with all of the Technical and Content Guidelines set forth in Section 3 and has obtained all Clearances that are necessary for the submission of the Film and the use of the Film by the Sponsor Parties as permitted hereunder. By entering, the entrant agrees to supply to Sponsor any information or material necessary for Sponsor to verify compliance with the foregoing requirements, including without limitation copies of all Clearances. Sponsor has the right in its sole discretion to disqualify and/or not to post on the Website any Film that Sponsor determines does not or may not comply with the foregoing requirements. Without limitation of the foregoing, if a Film prominently (as determined by Sponsor in its sole discretion) depicts or refers to any brand or trademark other than Canon, Sponsor will have the right in its sole discretion to remove or blur such brand or trademark. If a Film depicts people other than the entrant and the entrant has not obtained and/or does not provide to Sponsor Clearances with respect to such people, or if a Film contains music or any other material that is owned by someone other than the entrant and the entrant has not obtained and/or does not provide to Sponsor Clearances with respect to such material, Sponsor may in its discretion disqualify the entrant. Films may be reviewed preliminarily before being published or judged; however, such review is not a determination of an Entrant’s eligibility or compliance with these Official Rules and does not relieve Entrant of responsibility for compliance with all of these Official Rules.

5. CONTRIBUTORS

If any person or entity other than the entrant (such as, for example, any writer, assistant director, co-director or cinematographer) made any contribution to a Film (each a "Contributor"), the entrant must secure in writing prior to entry all necessary Clearances from all such persons or entities for the submission of the Film in the Contest and the use by the Sponsor Parties of the Film as permitted hereunder. Each Contributor must not be an employee of any of the Contest Entities. Sponsor will have no obligation to communicate with or provide any credit or compensation to any Contributor in connection with any use of any Film hereunder. If a Film includes contributions from one or more Contributors, the entrant may, at the time of entry, in his or her discretion identify a maximum of two (2) such individual Contributors (i.e. persons, not companies or other entities) who will be eligible to receive a Contributor Prize (as described below) if the entrant is a Grand Prize winner, upon compliance with the requirements set forth in these Official Rules. Sponsor is not responsible for any disputes or disagreements between the entrant and any Contributor with respect to any Film or prize. Sponsor will have no obligation to provide any prize to any Contributor who is not among the maximum of two (2) Contributors identified by a winning entrant at the time of entry. Only the Contributors who contributed to the Film submitted by a winning entrant and were identified by the entrant at the time of entry will be eligible to receive a Contributor Prize.

6. LIMITATION ON USE OF FILMS

By submitting a Film, the submitting entrant agrees to comply with the following restrictions with respect to his or her Film:

  1. All Entrants: Each entrant must not, until after September 30, 2013, (i) authorize or permit the use of the Film or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of photographic equipment other than that of Canon or (ii) make any arrangement for the distribution or public exhibition of the Film that would involve any payment to the entrant. In addition, entrants that are selected as Finalists (as defined in Section 7 below) or Grand Prize winners also must comply with the restrictions described in Sections 6(b) and 6(c).
  2. Finalists: Each Finalist must not, until after December 31, 2013, (i) authorize or permit the use of the Film or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of photographic equipment other than that of Canon or (ii) make any arrangement for the distribution or public exhibition of the Film that would involve any payment to the entrant. In addition, if the finalist is selected as a winner, the Finalist must further comply with the restrictions in Section 6(c).
  3. Grand Prize Winners: Each Grand Prize winner also must not, until after June 30, 2014, (i) authorize or permit the use of the Film or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of photographic equipment other than that of Canon or (ii) make any arrangement for the distribution or public exhibition of the Film that would involve any payment to the entrant.

Sponsor will have the right in its discretion to take such action as it deems appropriate with respect to any violation of the foregoing restrictions, which may include disqualification. For clarity, the Official Rules do not prohibit an entrant from sharing his or her Film via social media outlets after the Film has been entered in the Contest as long as the entrant complies with the restrictions contained in Sections 6(a)-(c), as applicable

7. WINNER SELECTION

Selection of Finalists: Twenty (20) finalists (each a "Finalist") will be selected by judges designated by Sponsor (the "Judges") from among all films submitted in accordance with these Official Rules during the Entry Period. Judges will determine the Finalists by applying the following criteria the "Finalist Judging Criteria", weighted as indicated: (a) extent to which the Film is inspired by ten of the winning Project Imaginat10n photographs designated by Sponsor (25%); (b) extent to which the Film is imaginative (20%); (c) overall technical quality (10%); (d) originality (20%); and (d) overall impression (25%).The entrants who submit the twenty (20) Films that receive the highest average scores from the Judges will be the Finalists. In the event of a tie, the tie will be broken on the basis of the tied entrants’ scores in the “overall impression” category. Selection of Winners: Five (5) potential Grand Prize winners will be selected from among the Finalists. Judges designated by Sponsor (which will include Ron Howard and Bryce Dallas Howard) will determine the potential winners by applying the following criteria (the "Winner Judging Criteria"), weighted as indicated: (a) extent to which the Film is inspired by ten winning Project Imaginat10n photographs designated by Sponsor (one per theme category) (50%); and (b) overall impression (50%). The Finalists who submit the five (5) Films that receive highest scores will be potential Grand Prize winners, and each of up to two (2) Contributors identified by each potential Grand Prize winner when submitting his or her Film will be potential Contributor Prize winners. In the event of a tie, the tie will be broken on the basis of the tied entrants’ scores in the “overall impression” category.

8. FINALIST AND WINNER NOTIFICATION AND VERIFICATION

Preliminary Review of Potential Finalists: In order to expedite the verification of Finalists, between approximately July 24, 2013 and August 29, 2013, Sponsor may in its discretion contact entrants to preliminarily assess their eligibility and their compliance with the guidelines set forth in Section 3, which may include requiring the potential Finalists to provide all required Clearances for review by Sponsor. Such inquiries will be preliminary in nature only. Entrants who are contacted by Sponsor for preliminary verification of eligibility will not necessarily be selected as Finalists. Notification of Finalists: The potential finalists will be notified on or about August 5, 2013 by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, in Sponsor’s discretion. Each potential finalist is subject to verification. Each potential finalist will be required to complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (certifying, among other things, that the Film complies with the Technical and Content Guidelines set forth in Section 3 and that that the entrant has obtained all necessary Clearances as described in Section 4). In addition, each potential finalist must also cause each Contributor identified by the potential winner in his or her entry (maximum of two), if any, to sign a Contributor Release in a form provided by Sponsor within the time period specified by Sponsor. If a Contributor identified in the entry does not sign a Contributor Release within such time period, the Contributor will not be eligible to receive a Contributor Prize. In addition, if a potential finalist cannot be reached or does not respond within forty-eight (48) hours of the initial notification attempt, or fails to complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (where permitted by law) within three (3) business days of delivery to the potential finalist of the same, or if any attempted notification is returned as undeliverable, the potential finalist will be disqualified and an alternate finalist will be chosen (using the same selection method as resulted in the initial selection of the potential finalist who was disqualified). If a potential finalist is a minor under the laws of his or her jurisdiction of residency, the finalist’s parent or legal guardian must complete any required Affidavit/Release. Background Check: Verification of the potential winners’ eligibility may include, without limitation, a background investigation. Each entrant consents to the conduct of a background investigation (which may include a review of criminal records) on the entrant and agrees to supply any authorizations or permission deemed necessary by Sponsor in connection with any such investigation. Sponsor reserves the right to disqualify any entrant if Sponsor determines in its sole discretion that awarding a prize to the entrant, publicizing any facts or details about such entrant or an association of the entrant with Sponsor or the Contest, might reflect negatively on Sponsor, Sponsor’s products or the Contest. Notification of Winners: The potential winners will be notified by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, in Sponsor’s discretion. Each potential winner and/or Contributor may be subject to additional verification and may be required to complete and return to Sponsor a Prize Acceptance Agreement. If a potential winner cannot be reached or does not respond within forty-eight (48) hours of the initial notification attempt, or fails to complete and return to Sponsor any required Prize Acceptance Agreement within three (3) days of delivery to the potential winner of the same, or if any attempted notification or prize delivery is returned as undeliverable, the potential winner and his or her Contributors will be disqualified and the prize and Contributor Prize will be awarded to an alternate winner. If a potential winner or Contributor is a minor under the laws of his or her jurisdiction of residency, the prize may in Sponsor’s discretion be awarded in the name of the winner’s or Contributor’s parent or legal guardian, who must complete any required Affidavit/Release, Prize Acceptance Agreement or Contributor Release, as applicable. Confidentiality Requirements: By entering, each entrant agrees to maintain as confidential and not to disclose in any manner (including, without limitation, to any media outlet or on any blog, social media outlet or website) any non-public and/or confidential information that the entrant obtains concerning the Contest or the selection or verification of Finalists or winners. Information to be kept confidential and not disclosed includes, without limitation, the fact of and content of any communications between an entrant and any employee or agent of Sponsor and the fact that an entrant has been selected as a potential Finalist or winner.

9. PRIZES

Up to fifteen (15) prizes will be offered (five (5) prizes for Grand Prize winners and up to ten (10) prizes for Contributors). Grand Prize: Each Grand Prize is (a) two (2) tickets (one (1) for the winner and one (1) for a guest of the winner) to attend the premiere or other event relating to the Project Imaginat10n films (currently expected to occur during October 2013, but the date is subject to change at Sponsor’s sole discretion) (the “Film Event”); (b) a trip for the winner and one (1) guest to attend the Film Event; and (c) $5,000 provided in the form of a check or another payment method determined by Sponsor in its discretion. The trip will consist of round trip, coach-class air transportation for the winner and one (1) guest between the major airport nearest to the winner’s home and an airport in or near the destination; a VIP experience at the Film Event, which may include red carpet entrance and interviews, VIP seating, group and/or individual photos with Ron Howard, and a meet and greet with Ron Howard and Bryce Dallas Howard (specific components of the VIP experience will be determined by Sponsor in its discretion); ground transportation; and a consecutive two (2) night stay at a hotel selected by Sponsor (one standard room, double occupancy; room rate and taxes only; size and type of room determined by Sponsor in its discretion). If the winner is under age 21, the winner’s guest must be a parent or legal guardian of the winner. Sponsor has the right in its discretion to require that the winner’s guest be of legal age of majority in the jurisdiction in which the guest resides, unless the winner is a parent or legal guardian of the guest. The winner and his/her guest must travel on the same itinerary. All travel arrangements will be made by Sponsor or its agents. Contributor Prize: Each of the prizes for Contributors is two (2) tickets (one (1) for the Contributor and one (1) for a guest of the Contributor) to attend the Film Event. General Prize Terms and Conditions: The specific date, location and Film Event details and all other prize details will be determined by Sponsor in its discretion. No substitution will be made in the event a winner is not available to attend the Film Event on the date specified by Sponsor or otherwise elects not to attend the Event. Tickets may not be sold or transferred, except that any Grand Prize winner who is also a Contributor Prize winner for a different Entry may transfer (but not sell) such winner’s Contributor Prize tickets. Additional terms and restrictions may apply. The approximate retail value (“ARV”) of each Grand Prize is $10,300. The ARV of each Contributor Prize is $300. The total ARV of all prizes is $54,500 (assuming all ten Contributor Prizes are claimed). All expenses and costs associated with the acceptance or use of any prize that are not expressly specified in these Official Rules as being part of the prize (including without limitation, with respect to the Grand Prize trip, all costs associated with souvenirs, incidentals, baggage fees, insurance and food, and with respect to the Contributor Prize, any necessary transportation) are the responsibility of the recipient. The prizes may not be redeemed for cash. No substitution of any prize is permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize of equal or greater value. All federal, state/provincial and local taxes on the prize value, if applicable, are the responsibility of the winner. An IRS form 1099 will be issued to the winner if required by law.

10. GRANT OF RIGHTS

Each entrant retains ownership of the copyright in his or her Film, subject to the grants of rights contained herein. By entering the Contest, each entrant irrevocably grants to each of the Contest Entities and those each of them may designate from time to time (all of the foregoing, the "Sponsor Parties") the right, during the Entry Period and thereafter, throughout the world, in perpetuity (a) to exhibit, display and distribute the entrant’s Film and the entrant’s name, likeness, voice and/or biographical information in all media and formats whether now or later known or developed, including without limitation at the Website and other websites and/or social media platforms and making the Film available for public viewing and comment, (b) to incorporate the entrant’s Film and/or the entrant’s name, likeness, voice and/or biographical information in advertising, marketing and promotional materials for the Contest, the Film Event, Sponsor and/or Sponsor’s “Project Imaginat10n” campaign, in all media and formats whether now or later known or developed, (c) to use and authorize the use of the entrant’s Film and the entrant’s name, likeness, voice and/or biographical information in connection with one or more other Canon promotions, and (d) to excerpt, edit and adapt the Film in connection with any or all of the foregoing. Each entrant and Contributor will be required to execute such releases, licenses and other documentation as Sponsor requires with respect to the entrant’s Film. Finalists may be requested to provide to Sponsor the original audio and video files used during production of the Film, for potential use by Sponsor in connection with the exercise of the grant of rights contained herein. This may include uncompressed QuickTime files, final audio mix and/or separate audio tracks for dialogue, music and effects. Providing such files will not be a prerequisite for selection as a Finalist or winner.

11. RELEASE AND ASSUMPTION OF RISK

By entering, each entrant, on behalf of the entrant and his or her heirs, executors, guardians, assigns, agents and representatives, releases each of the Sponsor Parties, each of their respective parent companies, subsidiaries, affiliates and successors, and the directors, officers, employees and assigns of each of the foregoing, and all people and entities involved in the development or execution of the Contest and/or the Film Event, from and agrees not to assert any and all claims, actions, suits, proceedings and demands arising out of or relating to the conduct of or the entrant’s participation in the Contest, the acceptance or use of the prize, travel to and/or attendance at the Film Event, the use of any Film by any of the Sponsor Parties or anyone authorized by any of the Sponsor Parties or any other exercise by any of the Sponsor Parties of the rights granted herein, and all liabilities, losses, injuries and/or damages arising out of relating to the same. The foregoing includes, without limitation, any claims, actions, suits, proceedings or demands based upon or alleging any invasion of privacy, violation of right of publicity or infringement of any intellectual property or other personal or proprietary rights, or any personal injury or death to an entrant or any other person or any damage to or loss of personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize and any activity or travel related thereto or participation in this Contest. Entrants assume all liability for and risk of any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of any prize.

12. GENERAL RULES

The Contest Entities are not responsible for late, lost, delayed, illegible, damaged, corrupted or incomplete entries or e-mails, incorrect or inaccurate capture of, damage to, or loss of entries, Films or entry information, any delay or interruption in the launch, accessibility or operation of the Website or any entry or voting period or any other human or technical errors of any kind relating to the submission, collection, storage or processing of entries or the administration of the Contest. The Contest Entities are not responsible for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user’s Internet service provider and/or e-mail client or for insufficient space in user’s e-mail account to receive e-mail. The Contest Entities are not responsible for any liability for damage to any computer system resulting from participation in or accessing or downloading information in connection with this promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify or prohibit from participating in the Contest any individual who, in Sponsor’s discretion, Sponsor determines or believes (a) has tampered with the entry process or has undermined the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices, or (b) has engaged in conduct that annoys, abuses, threatens or harasses any other entrant or any representative of Sponsor, or (c) has attempted or intends to attempt any of the foregoing. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Contest should a virus, bug, technical problem, entrant fraud or misconduct, or other causes beyond the control of the Sponsor corrupt the administration, integrity, security or proper operation of the Contest or should Sponsor not receive a sufficient number of entries of sufficient quality to warrant the selection of five (5) winners, as determined by Sponsor in its discretion. In the event of termination of the Contest, a notice will be posted online and Sponsor in its discretion may select winners from among all eligible entries received prior to the time of termination if suitable entries are received prior to the time of termination. 2. HOW TO ENTER

The entry period for the Contest begins at 9:00 a.m. Pacific Time (PT) on June 18, 2013 and ends at 6:00 a.m. PT on July 16, 2013 (the “Entry Period”). To enter, visit imagination.usa.canon.com (the “Website”) during the Entry Period and follow the on-screen entry instructions. Each entrant will be required to submit his or her name, e-mail address, phone number, zip code, date of birth and such other information as Sponsor may require. Ten (10) photographs that will be utilized by Biz Stone as the inspiration for a short film to be directed by Mr. Stone (the “Photographs”) will be displayed on the Website. Each entrant will be required to submit via the Website a written description of an idea for the film’s plot inspired by those ten (10) photographs (“Plot Description”). All entries must be completed and received by Sponsor by no later than 6:00 a.m. PT on July 16, 2013. Proof of submission does not constitute proof of entry. Normal time rates, if any, charged by the entrant’s Internet service provider will apply. There is a limit of five (5) entries per person and per e-mail address.

3. PHOTO GUIDELINES

All Plot Descriptions must comply with the following guidelines: (a) the Plot Description must be no more than 140 characters in length, including spaces; (b) the Plot Description (including the copyright in the Plot Description) must be owned by the entrant; (c) the Plot Description must have been created by the entrant, must be original and must not previously have been published for commercial purposes or won any award; (d) the Plot Description must not depict or refer to any brand or trademark other than Canon; (e) the Plot Description must not contain any material that is defamatory, threatening, indecent, violent, obscene or offensive, or that promotes a political agenda; (f) the Plot Description must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Sponsor Parties (as defined in Section 7) requires a license or permission from or payment to any third party; (g) the Plot Description must not include the name of any actual living or deceased person other than the entrant; and (h) the Plot Description must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing and/or for posting on the Website. By submitting a Plot Description, the entrant represents and warrants that he or she has complied with all of the foregoing requirements. Sponsor reserves the right in its sole discretion to disqualify and/or not to post on the Website any Plot Description that Sponsor determines does not comply with these guidelines. Without limitation of the foregoing, Sponsor will have the right in its discretion to correct grammatical and/or typographical errors in entries.

4. WINNER SELECTION

One (1) potential winner will be selected by judges designated by Sponsor (the “Judges”) from among all Plot Descriptions submitted in accordance with these Official Rules during the Entry Period. The Judges will apply the following criteria (the “Finalist Judging Criteria”), weighted as indicated: (a) extent to which the Plot Description is inspired by the ten Photographs (30%); (b) extent to which the Plot Description is inspiring and/or imaginative (25%); (c) originality (20%); and (d) overall impression (25%). The entrant who submitted the Plot Description that receives the highest average scores from the Judges will be the potential winner. In the event of a tie, the tie will be broken on the basis of the tied entrants’ scores in the “overall impression” category.

5. WINNER NOTIFICATION AND VERIFICATION

The potential winner will be notified by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, in Sponsor’s discretion, on or about July 24, 2013. Each potential winner is subject to verification. Each potential winner will be required to complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (certifying, among other things, that the Plot Description complies with the guidelines set forth in Section 3). If a potential winner cannot be reached or does not respond within seventy-two (72) hours of the initial notification attempt, or fails to complete and return to Sponsor any required Affidavit of Eligibility and Publicity/Liability Release (where permitted by law) within three (3) days of delivery to the potential winner of the same, or if any attempted notification or prize delivery is returned as undeliverable, the potential winner will be disqualified and the prize will be awarded to an alternate winner.

All expenses and costs associated with the acceptance or use of any prize that are not expressly specified in these Official Rules as being part of the prize (including without limitation, all costs associated with transportation, accommodations, souvenirs, incidentals, baggage fees, insurance and food) are the responsibility of the winner. By entering the Contest, each entrant irrevocably grants to Sponsor, Sponsor’s advertising and promotion agencies, Eva Longoria, Inc. and all other entities involved in the development, production, marketing or operation of the Contest or the Film and their employees, contractors, agents, licensees and designees (all of the foregoing, the “Sponsor Parties”) to use and authorize the use of the entrant’s name, likeness (including without limitation photographs and/or recordings of the entrant), voice and biographical information, and the Photograph submitted by the entrant, including without limitation modifying, altering, excerpting or amending the Photograph and/or creating derivative works based on the Photograph or any component thereof, for purposes of trade, publicity, promotion and/or entertainment and any other purpose, in all media and formats whether now known or later developed, throughout the world in perpetuity, without any notice, credit, permission or compensation to the entrant (except where prohibited by law). Without limitation of the foregoing, by entering the Contest, each entrant irrevocably agrees that Sponsor is permitted, during the Entry Period and thereafter, (a) to display the entrant’s Photograph, name, likeness and/or biographical information online at the Website and other websites and/or social media platforms for public viewing and comment and (b) to incorporate the entrant’s Photograph, name and/or biographical information in advertising, marketing and promotional materials for Sponsor and/or its products and services and/or the Film and/or the Contest. Each entrant also irrevocably agrees that the Sponsor Parties are not obligated to, but are permitted to, use and authorize others to use the Photograph or any component thereof and any ideas, themes, characters and/or settings contained therein in and in connection with the Film and the marketing, advertising and promotion of the Film.

8. RELEASE AND ASSUMPTION OF RISK

By entering, each entrant, on behalf of the entrant and his or her heirs, executors, guardians, assigns, agents and representatives, releases each of the Sponsor Parties, each of their respective successors and the directors, officers, employees and assigns of all of the foregoing (all of the foregoing, the “Released Parties”), from and agrees not to assert any and all claims, actions, suits, proceedings and demands arising out of or relating to the conduct of or the entrant’s participation in the Contest, the acceptance or use of the prize, the use of any Photograph by any of the Sponsor Parties or anyone authorized by any of the Sponsor Parties or any other exercise by any of the Sponsor Parties of the rights granted herein, and all liabilities, losses, injuries and/or damages arising out of relating to the same. The foregoing includes, without limitation, any claims, actions, suits, proceedings or demands based upon or alleging any invasion of privacy, violation of right of publicity or infringement of any intellectual property or other personal or proprietary rights, or any personal injury or death to an entrant or any other person or any damage to or loss of personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize and any activity or travel related thereto or participation in this Contest. 1. ELIGIBILITY

Jamie Foxx’s Acting Promotion (the “Contest”), sponsored by Canon U.S.A., Inc. (“Sponsor”), is open only to legal residents of the fifty United States and the District of Columbia who are 16 years of age or older as of the time of entry. The Contest is void in Puerto Rico and where prohibited. Employees of Sponsor, Sponsor’s advertising and promotion agencies, each of Sponsor’s parent companies, subsidiaries and affiliates and Foxxhole Productions, Inc. and such employees’ immediate family and household members, are not eligible. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e., the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address).

2. HOW TO ENTER

The entry period for the Contest begins at 9:00 a.m. Pacific Time (PT) on July 16, 2013 and ends at 6:00 a.m. PT on August 13, 2013 (the “Entry Period”). To enter, visit imagination.usa.canon.com (the “Website”) during the Entry Period and follow the on-screen entry instructions. Each entrant will be required to submit his or her name, e-mail address, phone number, zip code, date of birth and such other information as Sponsor may require. Sponsor will provide three (3) lines of dialogue from a script for a short film to be directed by Jamie Foxx (the “Film”). Each entrant will be required to select one (1) of the lines, create a video of the entrant delivering such line (a “Video”) and follow the instructions provided at the Website to upload via the Video via the Website. All entries must be completed and received by Sponsor by no later than 6:00 a.m. PT on August 13, 2013. Proof of submission does not constitute proof of entry. Normal time rates, if any, charged by the entrant’s Internet service provider will apply. There is a limit of five (5) entries per person and per e-mail address. No purchase is necessary to enter or win.

3. TECHNICAL AND CONTENT GUIDELINES

Each Video must comply with the following guidelines:

  1. the Video must be no longer than twenty (20) seconds (00:20) in duration;
  2. the Video must not identify or depict any actor or any other person other than the entrant;
  3. each entrant must produce his or her Video in the highest technical quality reasonably possible for the entrant;
  4. the Video must comply with the technical specifications provided on the Website and must be compatible with the upload mechanism provided on the Website;
  5. the Video must be at least 360p (640 x 360 pixels) resolution;
  6. the file size of the Video must be no greater than 300MB;
  7. the Video must be in one of the following file formats: 3GP/3GP2, ASF (Windows Media), AVI, DV Video, Flash Video (FLV/F4V), MOV (Quicktime), MP4 Video/Audio, MPEG-2 TS, MPEG-2 PS, MPEG-1, Ogg, VOB (Video Object), or WebM;
  8. the Video (including the copyright in the Video) must be owned solely by the entrant;
  9. the Video must be original (except to the extent based on a line of dialogue provided by Sponsor);
  10. the Video must not prominently (as determined by Sponsor in its discretion) depict or refer to any brand or trademark other than Canon;
  11. if any component of the Video (including without limitation any footage, artwork, music or photograph) is owned by someone other than the entrant, the entrant must obtain in writing a license to include such component in the Video and for the use of the Video by the Sponsor Parties (as defined in Section 8) as permitted hereunder;
  12. the Video must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Sponsor Parties requires a license or permission from any third party;
  13. the content of the Video must be such that, if submitted for rating, the Video would likely receive a rating of “PG-13,” “PG” or “G”;
  14. the Video must not utilize live animals unless the entrant has obtained the consent of the animal’s owner and an affidavit from the animal owner or wrangler that the animal was not harmed in the making of the Video. Entrants are encouraged to contact the local Humane Society prior to production of the Video to verify appropriate animal safeguards on set; and
  15. the Video must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing.

4. CLEARANCES

Each entrant must obtain in writing all permissions, licenses and consents (“Clearances”) that are necessary for the use of the Video by the Sponsor Parties as permitted hereunder. This includes, but is not limited to, the following:

  • If the Video includes any music, footage, artwork or photography that is owned by someone other than the entrant, the entrant must obtain from the owner(s) of all such material written Clearance to the use of such material in the Video and the use of the Video by the Sponsor Parties as permitted hereunder; and
  • If any footage or other material contained in the Video is created at a location that is owned by someone other than the entrant and as to which a release is or may be required for the production or use of the Video, the entrant must obtain from the owner(s) of the location written Clearance to the use of such material in the Video and the use of the Video by the Sponsor Parties as permitted hereunder.

By entering the Contest, the entrant represents and warrants that the entrant has complied with all of the Technical and Content Guidelines set forth in Section 3 and has obtained all Clearances that are necessary for the submission of the Video and the use of the Video by the Sponsor Parties as permitted hereunder. By entering, the entrant agrees to supply to Sponsor any information or material necessary for Sponsor to verify compliance with the foregoing requirements, including without limitation copies of all Clearances. Sponsor has the right in its sole discretion to disqualify and/or not to post on the Website any Video that Sponsor determines does not or may not comply with the foregoing requirements. Without limitation of the foregoing, if a Video prominently (as determined by Sponsor in its sole discretion) depicts or refers to any brand or trademark other than Canon, Sponsor will have the right in its sole discretion to remove or blur such brand or trademark. Videos may be reviewed preliminarily before being published or judged; however, such review is not a determination of an Entrant’s eligibility or compliance with these Official Rules and does not relieve Entrant of responsibility for compliance with all of these Official Rules.

5. WINNER SELECTION

One (1) potential winner will be selected by judges designated by Sponsor (the “Judges”) from among all Videos submitted in accordance with these Official Rules during the Entry Period. The Judges will apply the following criteria (the “Finalist Judging Criteria”), weighted as indicated: (a) the entrant’s performance craft and believability (20%); (b) acting mechanics (characterization, use of voice, energy level [diction and projection] and movement [appropriate to character]) (20%); (c) extent to which the Video is inspiring and/or imaginative (15%); (d) originality (25%); and (e) overall impression (20%). The entrant who submitted the Video that receives the highest average scores from the Judges will be the potential winner. In the event of a tie, the tie will be broken on the basis of the tied entrants’ scores in the “overall impression” category.

6. WINNER NOTIFICATION AND VERIFICATION

The potential winner will be notified by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, at Sponsor’s discretion, on or about August 21, 2013. The potential winner is subject to verification. The potential winner will be required to complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (certifying, among other things, that the Video complies with the guidelines set forth in Section 3). If a potential winner cannot be reached or does not respond within seventy-two (72) hours of the initial notification attempt, or fails to complete and return to Sponsor any required Affidavit of Eligibility and Publicity/Liability Release (where permitted by law) within three (3) days of delivery to the potential winner of the same, or if any attempted notification or prize delivery is returned as undeliverable, the potential winner will be disqualified and the prize will be awarded to an alternate winner.

7. PRIZES

One (1) prize will be offered. The prize is (a) two (2) tickets (for the winner and one (1) guest) to a premiere or other event relating to the Film (currently expected to occur during October 2013) (the “Film Event”), (b) a Canon EOS Rebel T5i DSLR & EF-S 18-55 IS STM Kit, and (c) memorabilia determined by Sponsor that has been autographed by Mr. Foxx. 3. PHOTO GUIDELINES

All Photographs must comply with the following guidelines: (a) the Photograph must be in .jpg, .png, .gif, .tif, or .jpeg file format, a maximum file size of five (5) megabytes and minimum file size of five hundred (500) kilobytes; (b) the resolution of the Photograph must be at least 720x480 (if in landscape format) or 480x720 (if in portrait format); (c) the Photograph (including the copyright in the Photograph) must be owned by the entrant; (d) the Photograph must have been taken by the entrant, must be original and must not previously have been published for commercial purposes or won any award (non-winning entries in contests previously conducted by Sponsor may be entered in this Contest provided that all other requirements set forth herein are satisfied); (e) the Photograph must not depict or refer to any brand or trademark other than Canon; (f) the Photograph must not contain any material that is defamatory, threatening, indecent, violent, obscene or offensive, or that promotes a political agenda; (g) the Photograph must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Sponsor Parties (as defined in Section 7) requires a license or permission from or payment to any third party; (h) if the Photograph identifies or depicts any person other than the entrant, the entrant must have prior to submission obtained written consent from such person (or his or her parent or legal guardian, if the person identified or depicted is a minor) to the use by the Sponsor Parties of the Photograph including such person’s name, image and/or other identifying information, as applicable, as permitted hereunder; and (i) the Photograph must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing and/or for posting on the Website. By submitting a Photograph, the entrant represents and warrants that he or she has complied with all of the foregoing requirements and has obtained all permissions, licenses and consents that are necessary for the submission of the Photograph and the use of the Photograph as permitted pursuant to Section 7 of these Official Rules and to verify compliance with the foregoing requirements. Each entrant agrees to provide to Sponsor at Sponsor’s request copies of all such permissions, licenses and consents. 4. WINNER SELECTION

One (1) potential winner will be selected by judges designated by Sponsor (the “Judges”) from among all Photographs submitted in accordance with these Official Rules during the Entry Period. The Judges will apply the following criteria (the “Finalist Judging Criteria”), weighted as indicated: (a) extent to which the Photograph is inspired by one of the costume descriptions (25%); (b) extent to which the Photograph is inspiring and/or imaginative (15%); (c) technical quality (15%); (d) originality (20%); and (e) overall impression (25%). The entrant who submitted the Photograph that receives the highest average scores from the Judges will be the potential winner. In the event of a tie, the tie will be broken on the basis of the tied entrants’ scores in the “overall impression” category.

5. WINNER NOTIFICATION AND VERIFICATION

The potential winner will be notified by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, in Sponsor’s discretion, on or about September 5, 2013. The potential winner is subject to verification. The potential winner will be required to complete and return to Sponsor an Affidavit of Eligibility and Publicity/Liability Release (certifying, among other things, that the Photograph complies with the guidelines set forth in Section 3). If a potential winner cannot be reached or does not respond within seventy-two (72) hours of the initial notification attempt, or fails to complete and return to Sponsor any required Affidavit of Eligibility and Publicity/Liability Release (where permitted by law) within three (3) days of delivery to the potential winner of the same, or if any attempted notification or prize delivery is returned as undeliverable, the potential winner will be disqualified and the prize will be awarded to an alternate winner.

6. PRIZES

One (1) prize will be offered. The prize is (a) two (2) tickets (for the winner and one (1) guest) to a premiere or other event relating to the film to be directed by Georgina Chapman (the “Film”) (currently expected to occur during October 2013) (the “Film Event”), (b) a Canon EOS Rebel T5i DSLR & EF-S 18-55 IS STM Kit, and (c) memorabilia determined by Sponsor that has been autographed by Ms. Chapman. The prize is (a) two (2) tickets (for the winner and one (1) guest) to a premiere or other event relating to the film directed by James Murphy (the “Film”) (currently expected to occur during October 2013) (the “Film Event”), (b) a Canon EOS Rebel T5i DSLR & EF-S 18-55 IS STM Kit, and (c) memorabilia determined by Sponsor that has been autographed by Mr. Murphy. The specific date, location and Film Event details and all other prize details will be determined by Sponsor in its discretion. If the winner is a minor under the laws of the jurisdiction in which the winner resides, the guest accompanying the winner to the Film Event must be a parent or legal guardian of the winner. No substitution will be made in the event a winner is not available to attend the Film Event on the date specified by Sponsor or otherwise elects not to attend the Event. Tickets may not be sold or transferred. The approximate retail value of the prize is $1,449. All expenses and costs associated with the acceptance or use of any prize that are not expressly specified in these Official Rules as being part of the prize (including without limitation, all costs associated with transportation, accommodations, souvenirs, incidentals, baggage fees, insurance and food) are the responsibility of the winner. The prizes may not be redeemed for cash. No substitution of any prize is permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize of equal or greater value. All federal, state and local taxes on the prize value, if applicable, are the responsibility of the winner. An IRS form 1099 will be issued to the winner if required by law.

7. GRANT OF RIGHTS

By entering the Contest, each entrant irrevocably grants to Sponsor, Sponsor’s advertising and promotion agencies, Excelsior Equity Management of NY, LLC, James Murphy and all other entities involved in the development, production, marketing or operation of the Contest or the Film and their employees, contractors, agents, licensees and designees (all of the foregoing, the “Sponsor Parties”) to use and authorize the use of the entrant’s name, likeness (including without limitation photographs and/or recordings of the entrant), voice and biographical information, and the Photograph submitted by the entrant, including without limitation modifying, altering, excerpting or amending the Photograph and/or creating derivative works based on the Photograph or any component thereof, for purposes of trade, publicity, promotion and/or entertainment and any other purpose, in all media and formats whether now known or later developed, throughout the world in perpetuity, without any notice, credit, permission or compensation to the entrant (except where prohibited by law). Without limitation of the foregoing, by entering the Contest, each entrant irrevocably agrees that Sponsor is permitted, during the Entry Period and thereafter, (a) to display the entrant’s Photograph, name, likeness and/or biographical information online at the Website and other websites and/or social media platforms for public viewing and comment and (b) to incorporate the entrant’s Photograph, name and/or biographical information in advertising, marketing and promotional materials for Sponsor and/or its products and services and/or the Film and/or the Contest. Each entrant also irrevocably agrees that the Sponsor Parties are not obligated to, but are permitted to, use and authorize others to use the Photograph or any component thereof and any ideas, themes, characters and/or settings contained therein in and in connection with the Film and the marketing, advertising and promotion of the Film.

8. RELEASE AND ASSUMPTION OF RISK

By entering, each entrant, on behalf of the entrant and his or her heirs, executors, guardians, assigns, agents and representatives, releases each of the Sponsor Parties, each of their respective successors and the directors, officers, employees and assigns of all of the foregoing (all of the foregoing, the “Released Parties”), from and agrees not to assert any and all claims, actions, suits, proceedings and demands arising out of or relating to the conduct of or the entrant’s participation in the Contest, the acceptance or use of the prize, the use of any Photograph by any of the Sponsor Parties or anyone authorized by any of the Sponsor Parties or any other exercise by any of the Sponsor Parties of the rights granted herein, and all liabilities, losses, injuries and/or damages arising out of relating to the same. The foregoing includes, without limitation, any claims, actions, suits, proceedings or demands based upon or alleging any invasion of privacy, violation of right of publicity or infringement of any intellectual property or other personal or proprietary rights, or any personal injury or death to an entrant or any other person or any damage to or loss of personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize and any activity or travel related thereto or participation in this Contest. Entrants assume all liability for and risk of any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of any prize. Each entrant acknowledges that the Released Parties may from time to time develop marketing, advertising, promotional and entertainment materials and other materials (collectively, the “Materials”), including without limitation the Film. By submitting an entry in the Contest, each entrant acknowledges and agrees that any Materials that any of the Released Parties may create, produce, use or exploit may have originated with the Released Parties themselves or may have been acquired from other parties, and that such Materials may duplicate or resemble the Photograph submitted in the Contest by the entrant. By submitting an entry, each entrant agrees that the Released Parties’ creation and/or use of Materials containing images, features, ideas, material and/or elements similar to or identical to those contained in the entrant’s Photograph will not entitle the entrant to any credit, compensation or other consideration whatsoever. By submitting an entry, each entrant irrevocably waives and agrees not to assert any claim or demand of any kind in connection with the Released Parties’ creation, production, use or exploitation of any Materials (or any portions thereof) whether or not such Materials contain any images, features, ideas, material and/or elements similar or identical to those contained in an entrant’s Photograph.

9. GENERAL RULES

The Released Parties are not responsible for late, lost, delayed, illegible, damaged, corrupted or incomplete entries or e-mails, incorrect or inaccurate capture of, damage to, or loss of entries, Photographs or entry information, any delay or interruption in the launch, accessibility or operation of the Website or any entry or voting period or any other human or technical errors of any kind relating to the submission, collection, storage or processing of entries or the administration of the Contest. The Released Parties are not responsible for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or e-mail client or for insufficient space in user's e-mail account to receive e-mail. The Released Parties are not responsible for any liability for damage to any computer system resulting from participation in or accessing or downloading information in connection with this promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify or prohibit from participating in the Contest any individual who, in Sponsor’s discretion, Sponsor determines or believes (a) has tampered with the entry process or has undermined the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices, or (b) has engaged in conduct that annoys, abuses, threatens or harasses any other entrant or any representative of Sponsor, or (c) has attempted or intends to attempt any of the foregoing. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Contest should a virus, bug, technical problem, entrant fraud or misconduct, or other causes beyond the control of the Sponsor corrupt the administration, integrity, security or proper operation of the Contest. In the event of termination of the Contest, a notice will be posted online and a winner will be selected from among all eligible entries received prior to the time of termination. Entry times will be determined using Sponsor’s computer, which will be the official clock for the Contest. All federal, state and local laws and regulations apply. Each entrant agrees to indemnify, defend and hold each of the Released Parties harmless from and against any and all claims, actions, suits, proceedings and demands arising out of or relating to the use by any of them of the Photograph as permitted hereunder, and all liabilities, losses, injuries and/or damages to entrant or any other person arising out of relating to the same. Entries will not be verified or returned. By participating in this promotion, entrants agree to be bound by the Official Rules and the decisions of Sponsor, which are final and binding in all respects. The Released Parties are not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize. In no event will more than the stated number of prizes be awarded. By entering the Contest, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. Each entrant’s sole and exclusive remedy with respect to any and all claims, causes of action and/or lawsuits relating to or arising out of the Contest and/or the Film shall be an action at law for the recovery of monetary damages only, and in no event shall any of the rights acquired or to be acquired by any of the Sponsor Parties hereunder be affected or impaired. Each entrant agrees that in no event shall the entrant have the right to enjoin or otherwise interfere with the development, production, distribution, or exploitation of the Film and/or Producer’s exercise of any of its rights hereunder or to terminate or rescind any of the rights granted herein. Non-compliance with these Official Rules may result in disqualification. Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts located in New York County in the State of New York, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules.

Information collected by Sponsor from entrants in connection with the Contest will be used and collected in accordance with Sponsor’s Online Privacy Statement (available at www.usa.canon.com/cusa/about_canon/standard_display/abtcan_lgl_privacy_misc).
